This Agreement contains very important information regarding your rights and obligations, as well as conditions, limitations, and exclusions that apply to your access and use of liquiddocs.ai (the "Website"). Please read the Agreement carefully.

• Acceptance of Terms

By accessing and using LiquidDocs.ai ("the Platform"), you agree to comply with and be bound by these Terms of Use and Conditions ("Terms"). If you do not agree with these Terms, you are not authorized to use the Platform. 

• Description of Service

LiquidDocs.ai is a platform designed to simplify and streamline due diligence for investors by automatically analyzing data rooms. It processes and comprehends various documents and data sources, enabling companies to generate custom and dynamic reports, from quarterly updates to comprehensive prospectuses.

• Eligibility

To use the Platform, you must be at least 18 years old and capable of forming a legally binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements.

• Account Registration

To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Payment Processing

For all payment-related transactions, we use Stripe as our trusted payment processor. All payment data is transmitted securely over HTTPS (TLS 1.2 or higher) and is tokenized for added protection. Stripe is PCI DSS compliant, ensuring that your sensitive payment information is handled securely throughout the transaction process.

• Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

- Use the Platform in any manner that could disable, overburden, damage, or impair the Platform.

- Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose.

- Use the Platform to engage in any activity that is fraudulent, abusive, or illegal.

- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

• Data Privacy

Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Platform, you consent to our collection and use of your personal information as described in the Privacy Policy.

• Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, and software, are the exclusive property of LiquidDocs.ai or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

• Termination

We may terminate or suspend your access to the Platform, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

• Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, or materials included on the Platform. You expressly agree that your use of the Platform is at your sole risk.

• Limitation of Liability

In no event shall LiquidDocs.ai, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

• Governing Law

These Terms shall be governed and construed in accordance with the laws of Quebec, Canada, without regard to its conflict of law provisions.

• Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Platform after the new terms take effect will constitute your acceptance of the revised terms.
